Term

Definition

Acquirer

Acquirer is the corporate entity that is purchasing another entity (Target) or the dominant or surviving entity subsequent to a merger. In instances where the dominant party to the acquisition cannot be easily determined, the largest entity is categorized as the Acquirer. In limiting a search criteria, specify the exact name of the acquirer or a partial name. Do not type in "Corp.","Inc.", or "Co." at the end of the name.

Address of the Acquirer

Address of the acquirer or surviving entity includes the street, city, state, and zip code. In a Custom Transaction Report, the subscriber is charged only for a single field.

Announcement Date

Announcement Date is the date the transaction is announced. The terms and consideration are as of the announcement date. Any information subsequent to the announcement is included in the comments section. Such subsequent events may include renegotiations of terms, closing dates or termination.

Behavioral Health Care
(database sector)
Behavioral Health Care includes providers engaged in behavioral, psychiatric services, mental retardation, developmental disability programs, and drug and substance abuse programs. Providers also include hospitals as well as programs on an outpatient basis.
Biotechnology
(database sector)
Biotechnology companies include businesses involved in the use of cellular and molecular processes to solve problems or make products. The sector includes companies in functional genomics, proteomics, cancer treatment, stem cell facilities, vaccine companies and drug discovery.

CEO of the Acquirer

CEO is the chief executive officer of the acquirer or the surviving entity. 

Comments

The comments section includes background, additional details of the transaction and strategic objectives of the transaction whenever possible.

Description

The description fields of both the Target and Acquirer include a discussion of the business lines and the revenues and net income (when available).

EBITDA Earnings Before Interest, Taxes, Depreciation, Amortization. An approximate measure of a company's operating cash flow based on data from the company's income statement. Calculated by looking at earnings before the deduction of interest expenses, taxes, depreciation, and amortization. Sometimes called operational cash flow or net operating income.
EBITDAR Earnings Before Interest, Taxes, Depreciation, Amortization and Rent
e-Health
(database sector)
E-health companies provide internet-related services, ranging from ASPs to coding businesses. The companies include portals, URLs and online medical record storage systems, among others.

Fax Number

Fax Number of the Acquirer.

Home Health Care
(database sector)

Home health care includes general home health care, home respiratory, home infusion and home nursing service companies. Hospice is included in the "Other" database sector. 

Hospitals
(database sector)

Hospitals range from acute care to specialty hospitals and multihospital systems to free-standing facilities. Hospitals specializing in long-term rehabilitation or psychiatric are found in those sectors. The unit of measurement is number of beds in service.

Income

Net income is calculated based upon Generally Accepted Accounting Principles. Generally, net income is after interest, amortization, depreciation, other non-cash items and taxes. When earnings before interest, taxes, depreciation and amortization is available, it will be so noted.

Laboratories, MRI and Dialysis
(database sector)

Laboratories, MRI and dialysis centers are combined into one sector in the health care services database. This category includes entities specializing in outpatient laboratory treatment and diagnostic services.

Listing

For publicly traded companies, listing includes the name of the exchange and the ticker symbol. For example, NYSE: MUL. Additional categories under listing include private and nonprofit.

Location of Target

The search can be limited to the following US State, Country or Province of the Target. The location selection has a pop down menu and also a field to search for other areas of the world.  The default is all locations.

Long-term Care
(database sector)

Long-term Care includes the complete spectrum of senior care including retirement, assisted, nursing and sub-acute care. The unit of measurement is number of beds. The search can be limited by using the reference selection in Question 2. For example, if the search should be limited to Targets that include sub acute care services, insert "sub-acute" in the word search and the selection will be limited to those entities where sub acute has been referenced in the description of the target.

Managed Care
(database sector)
Managed Care Organizations include a variety of health care payors, including HMOs and PPOs. Health plans targeting managed dental and vision care plans may also be found here. The unit of measurement is number of enrollees.
Medical Devices
(database sector)
Medical Device companies are engaged in the research, design, manufacture and distribution of a wide variety of devices used in medical diagnostics and therapies. The businesses include manufacturers of anesthesia products, orthopedic goods, dental devices, wound closure systems and microsurgery equipment, among others.

Other
(database sector)

Other is one of the sectors in the health care services database and includes all businesses that can not be classified in the other category sectors. The businesses among others include institutional pharmacies, dental care practices, outpatient surgery centers, ambulances and disease management companies.

Pharmaceuticals
(database sector)
Pharmaceutical companies are engaged in the discovery, development, manufacture and marketing of drugs used in human therapeutics. The companies include OTC/generic pharmaceuticals, as well as specific preparations involving analgesics, steroids and cancer drug, among others.

Phone number of the acquirer or the surviving entity is available. 

Physician Medical Groups
(database sector)

Physician Medical Groups include practices for primary care, multi-specialty and single specialty practices as well as Practice Management Companies. Single specialties include oncology, pediatrics, radiology, obstetrics and gynecology, ophthalmology, pulmonary and rheumatology. The unit of measurement is number of physicians. For example, if the search should be limited to Targets that include a cardiology specialty, insert "cardiology" in the reference selection in Question 2 and it will be limited to those entities where cardiology has been referenced in the description of the target.

Price

Price is defined as the total consideration for the transaction which may include cash, stock, debt assumption and earn-out provisions. Stock is generally valued at the market price one day prior to announcement and debt at face value. Many private entities choose not to publicly disclose the price. Whenever possible, an estimate of the price is made. To eliminate transactions without prices or to select in a specific price range, put a dollar amount in the fields. 

Price / Income Price/Income is defined as total consideration divided by Income.

Price / Revenue

Price/Revenue is defined as total consideration divided by revenue.

Price / Unit

Price/ Unit is defined as total consideration divided by the appropriate units of measurement. Units of measurement include the number of enrollees, beds or physicians.

Reference Search

A reference search is an option to further limit the search criteria or identify a unique descriptor. In Question 2, the engine searches the description of the Target for any reference to the specified word.

Rehabilitation
(database sector)

Rehabilitation transactions include rehabilitation hospitals, outpatient rehabilitation centers, contract rehabilitation businesses and orthotics/prosthetics practices.

Report - Detailed

This is a report on individual health care transactions that include all data fields.

Revenue

Revenue is calculated based upon Generally Accepted Accounting Principles. Generally, revenue is after contractual allowances and other adjustments, vacancy factor and includes other reoccurring revenues. To eliminate transactions without revenues or to select in a specific revenue range, put a dollar amount in the fields.

Sector There are thirteen sectors in the health care database.  These sectors include: behavioral health, biotechnology, e-health, home health care, hospitals, laboratories, MRI and dialysis, long-term care, managed care, medical devices, pharmaceuticals, physician medical groups, rehabilitation and other.

Target

Target is the corporate entity that is purchased by another entity (Acquirer) or the non-surviving entity subsequent to a merger. In instances where the target to the acquisition can not be easily determined, the smallest entity is categorized as the Target. In limiting a search criteria, specify the exact name of the Target or a partial name. Do not type in "Corp.","Inc.", or "Co." at the end of the name.

Terms

Terms of transaction include a discussion of the amount and type of consideration.

Unit or Units

Most of the sectors are tracked based upon the appropriate unit of measurement. Units of measurement are an indication of the size and are used in the calculation of price per unit. Units of measurement include number of enrollees, beds or physicians. The following segments can be searched on number of units: Managed Care, Hospitals, Long-Term Care, Physician Medical Groups, Behavioral Health Care and Rehabilitation.

Venture Capital

Term

Definition
Announcement Date Announcement Date is the date the investment is announced, or in the case of investments that are not made public, Announcement Date may refer to the date we confirmed the details on the deal. Any information pertinent to the deal but released subsequent to the announcement, including renegotiations of terms or termination, is updated in the database as we become aware of it.
Biopharmaceutical(s) Biopharmaceutical companies include businesses engaged in the development or production of biological drugs and drug candidates, including protein-based, stem cell-based and other therapeutic products.
Biotechnology Biotechnology companies include businesses involved in the use of cellular and molecular processes to solve problems or make products. The sector includes companies in functional genomics, proteomics, cancer treatment, stem cell facilities, vaccine companies and drug discovery.
Company Company is the name of a company, firm or entity.
Company Description Company Description, which appears on the Investor Summary pages, is a brief synopsis or overview of a firm or company's investment strategy, usually including target sectors, or other information such as total capital under management and amount typically invested per company.
Deal Amount Deal Amount is the amount of total funding from all investors in a single round, on a per deal basis. Deal Amount is the same as Transaction Amount.
Deal Range Deal Range is the range of dollar values, ranging from no maximum to no minimum. Deals recorded in the database are generally for $1.0 million or more.
Deal Summary Deal Summary is the description of a company's current activities or intentions for the use of venture capital proceeds in a specific round, including relevant notes on clinical programs, lead candidates, recent trials, expansion initiatives and other information.
e-Health E-health companies provide Internet-related services, ranging from patient and physician networks to Web-based IT solutions, coding and other businesses. The companies include portals, URLs and online medical record storage systems, among others.
Founded Founded refers the year in which a company or firm is formally incorporated, or launched.
Geography Geography means the specific area in question, including, at the option of the user, the United States, any of each of the United States, certain countries in Europe, or all areas (worldwide).
Health Care Services In the venture capital database, Health Care Services refers to companies that provide services such as patient care, including hospitals, surgery centers, rehabiliation facilities, physician groups, contract research or other specialized services, such as staffing, administration or distribution, to health care companies.
Investment Summary Investment Summary refers to the information provided on a company that has received venture capital funding, including the Deal Summary, the names of top executives at the company, contact information, typically including address, phone and fax numbers, as well as hyperlinks to the company's Web site, hyperlinks to executive emails and hyperlinks to Investor Summary pages for the participating Venture Capital Investor(s).
Investment(s) Investment(s) refers to the companies that a venture capital firm has invested in or committed to finance.
Investor Summary Investor Summary is the information displayed when a hyperlink for a venture capital investor is clicked. The Investor Summary provides a Company Description as well as the names of top executives and their contact information.
Investor(s) Investor(s) means the participating parties in a financing, including but not limited to, venture capital firms, corporations, funds, equity firms and incubators.
Key Contact Information Key Contact Information includes the names of three top executives of the company or firm described, as well as the appropriate address, phone and fax numbers, and email addresses, or as much of this information is available.
Keyword(s) Keywords are user defined terms to narrow or specify the search criteria. Type only one keyword in the field for each search. For example, to pinpoint data on a particular therapeutic area, such as orthopedics, but within one sector, such as Medical Devices, the user would type orthopedic in the keyword field and select the Medical Device sector. Alternatively, to find all deals in all sectors relating to cancer, one would type cancer, or oncology, as a keyword. The keyword field can also be used to search for venture capital firms investing in specific areas, for example, typing technology in the keyword field and selecting Venture Capital Investors for the sector, to find firms specializing in technology.
Medical Devices Medical Device companies are engaged in the research, design, manufacture and distribution of a wide variety of devices used in medical diagnostics and therapies. The businesses include manufacturers of anesthesia products, orthopedic goods, dental devices, wound closure systems and microsurgery equipment, among others.
Other Other is the name used for the sector in the database that includes all businesses that can not be classified in the existing category sectors. The businesses among others include institutional pharmacies, dental care practices, outpatient surgery centers, ambulances and disease management companies.
Pharmaceutical(s) Pharmaceutical companies are engaged in the discovery, development, manufacture and marketing of drugs used in human therapeutics. The companies include OTC and generic pharmaceuticals, as well as specific preparations involving analgesics, steroids and cancer drug, among others.
Round Round refers to the Series of securities in the investment. For example, the A round is the first round of funding (generally not including seed or angel rounds), and B is the second round, etc.
Timeframe Timeframe is a user defined date range, that can be as broad as all transactions from January 2003 to the present, or as narrow as a single day. A drop down menu offers easy selection of date criteria.
Transaction Amount Transaction Amount is the amount of total funding from all investors in a single round, on a per deal basis. Transaction Amount is the same as Deal Amount.
Venture Capital Venture Capital is equity funding invested in privately held companies.
Venture Capital Investor(s) Venture Capital Investors is the sector including all companies, firms, funds or other entities that have invested in or provided financing to the companies in the Health Care Venture Capital Database.
